House Registered Address, all of the official

to the registered address, will be forwarded
to you anywhere in the world, at no additional
cost other than the cost of postage stamps.
Subscribing to the registered address service
would allow you to receive mail from Companies
House only. This service can not be used
to receive mail from clients or any other
third parties.
The cost of this service is £25
per annum (if used with the company formation
service) and £75 per annum (if
used independent of the company formation
service). It takes 2 to 3 days to get this
service ready.
Also when company is NOT formed through
Formations House, you will need to purchase
the Registered Address service in combination
with the online company administrator service
(enables maintenance of an electronic record
of your company in the Formations House
and Companies House records simultaneously).
The cost will then become £50 per
annum (for Registered address) + £25
per annum (Online company administrator)
= £75.

who are unable to fulfill the statutory
requirement of appointing a company secretary.
The Nominee secretary is only meant to fulfill
the legal requirements. It does not perform
any secretarial duties, and does not become
involved with operations of the company
in any way. The nominee secretary, however,
signs bank account opening form. This is
an extra service, performed for a £5
administrative fee.
The cost is £25 per annum (if
used with company formation service) or
£125 per annum (if used independent
of company formation). It takes 2 to 3 days
to get this service ready.
When company is NOT formed through Formations
House, you will need to purchase the Nominee
Secretary Service in combination with the
Registered Address service and online company
administrator service (enables maintenance
of an electronic record of your company
in the Formations House and Companies House
records simultaneously). The cost will then
be:

CERTIFICATE OF GOOD
STANDING:
A Certificate of Good Standing is usually
issued by the Registrar of Companies stating
that According to the documents on the file
of the company in the custody of the Registrar
of Companies, the company has been in continuous
and unbroken existence since the date of
its registration. No action is currently
being taken by the Registrar of Companies
for striking the company off the register
and dissolving it as defunct, and as far
as the Registrar is aware:
a) The company is not in liquidation or
subject to an administration order,
and
b) No receiver or manager of the company's
property has been appointed.

DORMANCY APPLICATION:
The term 'dormant' applies to a company
that, in legal terms, has 'no significant
accounting transactions' during a financial
year. It is not the same as a 'non-trading
company', a term that has no legal meaning.
No significant accounting transactions means
zero entries in the company's accounting
records. The amount paid for shares when
the company is first formed and a few costs
that the company may incur in order to keep
the company registered at Companies House
do not count as significant accounting transactions.
Dormant companies have to submit the following
documents:
- Annual tax returns (Companies house-copy
to Inland Revenue): this will be an abbreviated
return.
- Annual Return (Companies House): An
annual return contains certain company
information up to the made-up date. It
is separate from a company's annual accounts.
- Company Accounts (includes: balance
sheet, profit and loss account, notes
to the accounts, director's declaration,
stating that all that is there has been
