A company does not qualify for the Small Audit Exemption if two or more of the following criteria are met:

  • Annual turnover is above £6.5 million;
  • Your balance sheet total is greater than £3.26 million;
  • The number of employees is fifty or more.

What You Should Know

UK Limited companies are required to submit accounts on an annual basis for each financial year. A financial year is considered as a 12 month period started on the last day of the month in which the anniversary of the company incorporation date falls, however it is possible to move the accounting period date if required. This means if you incorporate your new company on 15th April 2015, you financial period ends on 30th April 2016, and every year on the 30th April thereafter unless you file a change of financial period. Companies typically have 9 months from the end of the financial period to file their annual accounts. A new limited company is afforded additional time to file their first set of accounts. Following incorporation the first set of company accounts must be filed within 21 months from the date of incorporation.
